Overview
These Terms of Service (the "Terms") govern your access to and use of Gridiron Pros, including all related products, websites, features, applications, services, technologies, and software that Gridiron Pros makes available (collectively, the "Gridiron Pros Services" or the "Services"), except where Gridiron Pros expressly states that separate terms, and not these Terms, apply. These Terms constitute a legally binding agreement between you and Gridiron Pros (as defined in Section 4.5 below).
By accessing or using the Gridiron Pros Services in any manner, including by visiting, browsing, or registering for an account, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Gridiron Pros Services.
These Terms supersede any prior agreements or statements concerning your use of the Gridiron Pros Services, other than any supplemental terms that expressly state they are in addition to these Terms.
Your use of the Gridiron Pros Services is also subject to our Privacy Policy, which describes how we collect, use, and share information about you, as well as other applicable policies and supplemental terms referenced in Section 5 below.
1. The Services We Provide
Gridiron Pros provides an online platform designed to enable users to connect, communicate, share content, and interact with individuals, groups, organizations, and various forms of information and media. To advance this purpose, Gridiron Pros provides the Services described below.
Personalized Experience
Gridiron Pros may use information about your activity on and off the Gridiron Pros Services, your connections, and your preferences and settings to provide you with a personalized experience, including:
- Presenting content such as posts, stories, media, recommendations, and events that we believe may be relevant to you.
- Tailoring features, layouts, and interfaces based on your usage patterns.
- Suggesting content, accounts, groups, or other connections that we believe may be of interest to you.
Connection with People and Organizations
Gridiron Pros enables you to find, follow, and interact with users, groups, organizations, and other entities that matter to you by:
- Allowing you to create a user profile and establish connections.
- Enabling you to join or create groups, participate in events or communities, and engage in conversations.
- Providing recommendations regarding accounts, groups, content, or other entities you may wish to connect with.
Expression and Communication
Gridiron Pros enables you to create, upload, post, send, receive, and store content and communications, including text, images, audio, video, links, and other materials ("Content"), by:
- Providing tools to post updates, messages, comments, stories, and other forms of communication.
- Enabling one-to-one, group, and public interactions, subject to your settings and applicable policies.
- Allowing you to manage your Content and to control, to the extent the functionality is available, how it is shared with others.
Discovery of Content, Products, and Services
Gridiron Pros may present you with Content, features, offers, and other commercial or sponsored materials that may help you discover products or services offered by Gridiron Pros or by third parties, including:
- Personalized recommendations of Content, accounts, or resources.
- Sponsored or commercial Content where applicable, clearly distinguished as such in accordance with applicable law.
Safety, Security, and Integrity
Gridiron Pros seeks to promote the safety, security, and integrity of the Gridiron Pros Services and its community of users by:
- Employing technical, administrative, and organizational measures designed to detect and address misuse of the Services, harmful Content, or harmful conduct.
- Investigating and responding to reports or indications of violations of these Terms or other applicable policies, which may include removing or restricting access to Content, limiting or terminating access to the Services, or taking other appropriate actions.
- Working with service providers, partners, and, where appropriate, law enforcement, regulatory authorities, or other third parties as permitted or required by law.
Use and Development of Technologies
Gridiron Pros may use and develop technologies, including algorithms, automated systems, or other tools, to:
- Provide, maintain, and improve the Services.
- Detect and address security incidents, abusive behavior, or violations of these Terms.
- Enhance accessibility, performance, and reliability of the Services.
Research and Service Improvement
Gridiron Pros may conduct research, testing, and analysis to develop, test, and improve the Services, which may include:
- Analyzing how users access and use the Services.
- Testing new features or changes in existing features or interfaces.
- Collecting feedback and suggestions, as further addressed in Section 4.5(7).
Interoperability and Third-Party Integrations
Where applicable, Gridiron Pros may integrate or interoperate with third-party services or technologies, which may:
- Enable you to share Content or interact with other services.
- Allow third-party applications or integrations to interact with the Gridiron Pros Services, subject to applicable platform terms.
- Be subject to additional or separate terms and policies, as indicated at the time of use.
Global Operation and Data Transfer
To provide the Services, Gridiron Pros may:
- Process, store, and transfer data in and between various jurisdictions.
- Use data centers, service providers, and infrastructure located inside or outside your country of residence.
- Take steps intended to ensure appropriate protections for such transfers, consistent with applicable law.
2. How Our Services Are Funded
Unless Gridiron Pros expressly states otherwise, Gridiron Pros does not charge you a monetary fee to use core aspects of the Services. Instead, Gridiron Pros may be funded through one or more of the following mechanisms:
Advertising and Sponsored Content
- Gridiron Pros may display advertisements, offers, or other sponsored or commercial Content ("Ads") on or in connection with the Services.
- Advertisers or other third parties may pay Gridiron Pros to show such Ads to users, including Ads that are selected based on information Gridiron Pros has about you and other users, such as your activity, interests, and interactions.
- Gridiron Pros may provide advertisers or partners with reports and analytics about the performance of their Ads and other Content, including general information such as demographic aggregates, interest categories, or engagement metrics. Gridiron Pros does not share information that directly identifies you (such as your name, email address, or other contact information that by itself can be used to contact you or identifies who you are) with advertisers unless you provide specific permission, subject to applicable law.
Data Use for Personalization
- Gridiron Pros may use your personal information, including information about your activity and interests, to help determine which Ads and recommendations are more likely to be relevant to you.
- The manner in which Gridiron Pros collects, uses, and shares your information for such purposes is described in the Gridiron Pros Privacy Policy and in any applicable consent or preference-management tools offered by Gridiron Pros.
Other Products and Paid Features
- Gridiron Pros may offer certain optional paid products, features, or services, such as premium accounts, additional storage, or advanced tools.
- Where such paid offerings are made available, they may be subject to additional terms or payment conditions expressly presented to you at the time of purchase or activation.
No Sale of Personal Data
- Gridiron Pros does not sell your personal data to third parties in exchange for monetary consideration in a manner that would be inconsistent with representations made in these Terms or the Gridiron Pros Privacy Policy.
- Gridiron Pros may, however, engage in disclosures that are customary in online advertising and analytics ecosystems and permitted under applicable law, as further detailed in the Privacy Policy.
Acknowledgment
Your use of the Services constitutes your acknowledgment that Gridiron Pros may provide an ad-supported service and may use your data as described in these Terms and in the Gridiron Pros Privacy Policy.
3. Your Commitments to Gridiron Pros and the Community
In exchange for Gridiron Pros providing the Services, you agree to the commitments described in this Section 3.
3.1 Who Can Use Gridiron Pros
- Eligibility. You represent and warrant that:
- You are at least 13 years of age, or such higher minimum age as may be required in your jurisdiction for you to enter into a binding contract for use of online services without parental consent. If you are under the minimum age in your jurisdiction, you may only use the Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
- You are not a person who is barred from using the Services under the laws of the United States or any other applicable jurisdiction (for example, you are not subject to applicable sanctions).
- You are not prohibited by applicable law from receiving the Services.
- Account Information. When you create an account with Gridiron Pros, you agree that:
- You will provide accurate, current, and complete information as requested during registration and at other times as required in connection with the Services.
- You will maintain and promptly update such information to keep it accurate, current, and complete.
- Account Security. You are responsible for safeguarding the login credentials associated with your account and for all activities that occur under your account. You agree that:
- You will not share your password or otherwise give others access to your account without Gridiron Pros prior permission, except as expressly permitted by Gridiron Pros.
- You will notify Gridiron Pros promptly if you become aware of or suspect any unauthorized use of your account or any breach of security.
- Account Limits. Unless Gridiron Pros expressly permits otherwise:
- You will create only one personal account and will use it for your own personal purposes.
- You will not impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Prior Violations. You may not use the Services if:
- Gridiron Pros has previously disabled, suspended, or terminated your account for violations of these Terms or any other applicable Gridiron Pros terms or policies and has not explicitly permitted you to create or maintain another account.
- You have been convicted of certain serious offenses where Gridiron Pros, acting in its discretion and subject to applicable law, reasonably determines that your continued use of the Services poses a substantial risk to the safety of others or to the integrity of the Services.
3.3 The Permissions You Grant to Gridiron Pros
To enable Gridiron Pros to provide and improve the Services, you grant Gridiron Pros the permissions described below.
- Your Content and Intellectual Property Rights.
- You retain ownership of any intellectual property rights that you hold in the Content you create and share on or through the Services. Nothing in these Terms is intended to deprive you of your ownership rights in your Content.
- However, in order for Gridiron Pros to operate, provide, and improve the Services, you grant to Gridiron Pros a license to use your Content as set forth below.
- License to Use Your Content.
- When you upload, post, or otherwise share Content on or in connection with the Services that is subject to intellectual property rights (such as copyrights or trademarks), you grant Gridiron Pros a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to host, use, reproduce, adapt, modify, run, copy, distribute, publicly perform, publicly display, translate, and create derivative works of your Content, in each case as reasonably necessary to operate, provide, protect, and improve the Services and Gridiron Pros business, including for the purposes described in Section 1 and Section 2.
- This license is granted for the period during which your Content is made available on or through the Services, and continues for so long as your Content is retained by Gridiron Pros pursuant to these Terms or as required by applicable law.
- Deletion of Your Content.
- You may delete your Content from the Services using any functionality that Gridiron Pros provides for that purpose. Additionally, if you delete your account, Content associated with your personal profile may be scheduled for deletion, subject to the provisions of this Section 3.3(3).
- It may take a reasonable period, which may extend up to ninety (90) days from the initiation of the deletion process, for Gridiron Pros to delete your Content from active systems, caches, and backups, subject to technical and operational constraints.
- Gridiron Pros may retain your Content beyond the ordinary deletion period, to the extent reasonably necessary: (a) where your Content has been used by others in accordance with the license granted in Section 3.3(2) and they have not deleted it (in which case the license continues until such Content is deleted); (b) where immediate deletion is not technically feasible, in which case Gridiron Pros will take reasonable steps to complete deletion as soon as it is technically feasible; or (c) where retention is required for Gridiron Pros to: (i) investigate or identify illegal activity or violations of Gridiron Pros terms or policies; (ii) protect the safety, integrity, and security of the Services, Gridiron Pros systems, Gridiron Pros employees, or Gridiron Pros users, or to defend Gridiron Pros rights; (iii) comply with legal obligations, including obligations to preserve evidence or records; or (iv) comply with valid requests from courts, law enforcement, or governmental authorities.
- In each such case, Gridiron Pros will retain the Content only for as long as reasonably necessary to fulfill the purposes for which it has been retained, as determined on a case-by-case basis.
- Use of Your Name, Image, and Actions with Ads and Commercial Content.
- You grant Gridiron Pros permission to use your name, username, profile picture, likeness, and information about your actions or interactions on the Services (such as likes, follows, or participation in events) in connection with Ads, offers, and other sponsored or commercial Content displayed on or in connection with the Services, without compensation to you, but always subject to applicable law and your privacy settings.
- Gridiron Pros will display such information only to users who are permitted to view it under your privacy settings.
- Software and Updates.
- If you download or use any Gridiron Pros software, application, or client, you grant Gridiron Pros permission to download, install, and apply updates, upgrades, and other changes to that software where available, including for purposes of maintaining or improving security, performance, or functionality.
3.4 Limits on Your Use of Gridiron Pros Intellectual Property
- Ownership.
- Gridiron Pros and its licensors own all rights, title, and interest in and to the Services, including all software, interfaces, graphics, designs, trade names, logos, trademarks, service marks, and other content provided by Gridiron Pros, and all associated intellectual property rights ("Gridiron Pros IP"), except for Content owned by users or third parties.
- License to You.
- Subject to your compliance with these Terms and any applicable supplemental terms, Gridiron Pros grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services for your personal, non-commercial use, solely as expressly permitted by these Terms.
- Prohibitions. Except as expressly permitted by these Terms or applicable law that cannot be waived by contract, you agree that you will not:
- Copy, modify, adapt, translate, create derivative works based on, publicly display, publicly perform, or distribute Gridiron Pros IP.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of any Gridiron Pros software or technology.
- Use any Gridiron Pros trademarks, service marks, trade names, or logos without Gridiron Pros prior written consent, or in a manner that is likely to cause confusion or imply Gridiron Pros endorsement of your products or services.
- Reservation of Rights.
- All rights not expressly granted to you under these Terms are reserved by Gridiron Pros and its licensors.
4. Additional Provisions
4.1 Updating Our Terms
- Modifications. Gridiron Pros may amend, update, or modify these Terms from time to time, for example to:
- Reflect changes in the Services, including but not limited to new features or the removal of obsolete features.
- Address legal, regulatory, or security requirements.
- Clarify or improve the existing provisions of these Terms.
- Notice and Acceptance.
- Where required by applicable law, Gridiron Pros will provide you with advance notice of material changes to these Terms, by reasonable means such as posting the updated Terms within the Services and/or by sending a notice to the contact information associated with your account.
- Your continued access to or use of the Services after the effective date of any updated Terms constitutes your acceptance of those updated Terms.
- Right to Terminate Use.
- If you do not agree to updated Terms, you must stop using the Services and, if you so choose, delete your Gridiron Pros account.
- If you continue to use the Services after changes become effective, you are deemed to have accepted the updated Terms.
4.2 Account Suspension or Termination
- By Gridiron Pros. Gridiron Pros may suspend, restrict, or terminate your access to the Services, or disable or delete your account, in whole or in part, with or without prior notice, if:
- Gridiron Pros determines, in its reasonable discretion, that you have clearly, seriously, or repeatedly breached these Terms or any other applicable Gridiron Pros policies, standards, or guidelines.
- Gridiron Pros reasonably believes that your continued use of the Services may cause harm or legal liability to Gridiron Pros, its users, or third parties, or may compromise the security or integrity of the Services.
- Gridiron Pros is required to do so by law, court order, or governmental authority.
- Your account remains inactive for an extended period or is not confirmed following registration, and Gridiron Pros reasonably determines that retaining the account is no longer appropriate.
- By You. You may terminate your use of the Services at any time by:
- Deleting your account using the functionality provided by Gridiron Pros (if available), or
- Ceasing all access to and use of the Services and, where appropriate, requesting account closure through Gridiron Pros support channels.
- Notice and Review.
- Where commercially reasonable and permitted by law, and except in cases where doing so is likely to result in harm, legal liability, or compromise to the integrity or security of the Services, Gridiron Pros will inform you if your account has been suspended or terminated and will provide a brief explanation.
- Gridiron Pros may, but is not obligated to, provide mechanisms for you to request review of certain account or Content decisions.
- Effect of Termination.
- Upon termination of your account or access to the Services, your right to use the Services will cease immediately, except to the extent reasonably necessary for you to download or retrieve certain Content as may be permitted by Gridiron Pros and applicable law.
- Sections of these Terms that by their nature should survive termination (including, without limitation, Sections 3, 4.2(4), 4.3, 4.4, 4.5, and 5) will remain in full force and effect.
4.3 Limits on Liability
- No Guarantee of Error-Free Services.
- Gridiron Pros endeavors to provide the Services in a professional and secure manner. However, the Services are provided on an "as available" basis and, to the maximum extent permitted by applicable law, without any warranties or guarantees of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
- User Content and Conduct. Gridiron Pros does not control and is not responsible for:
- The Content, actions, or conduct of users or third parties (online or offline), including Content that may be offensive, inappropriate, unlawful, or otherwise objectionable.
- Any damage or loss resulting from such Content or conduct.
- Limitation of Damages. To the greatest extent permitted by applicable law:
- Gridiron Pros will not be liable to you for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Services, whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if Gridiron Pros has been advised of the possibility of such damages.
- Gridiron Pros aggregate liability arising out of or in connection with these Terms or the Services will not exceed the greater of: (a) one hundred U.S. dollars (USD $100), or (b) the total amount you have paid to Gridiron Pros, if any, in the twelve (12) months preceding the event giving rise to the claim.
- Jurisdictional Limitations.
- Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties. In such cases, the above exclusions and limitations will apply only to the extent permitted by the laws of such jurisdictions, and Gridiron Pros liability will be limited to the minimum amount required by law.
4.4 Disputes and Governing Law
- Governing Law.
- Except to the extent that the laws of your country of residence require otherwise, these Terms and any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services (collectively, "Disputes") will be governed by and construed in accordance with the laws of the State of Florida, United States, without reference to its conflict of laws principles.
- Forum. Subject to any mandatory provisions of applicable law that specify otherwise:
- You and Gridiron Pros agree that any Dispute brought regarding or in relation to the Services shall be subject to arbitration with the American Arbitration Association. Any such arbitration shall be held in Tampa, Florida.
- You and Gridiron Pros further agree that any claim not subject to arbitration (if applicable) shall be resolved exclusively in the state or federal courts located in Hillsborough County, Florida or the U.S. District Court for the Middle District of Florida, Tampa Division.
- You consent to the personal jurisdiction and venue of such courts for the purpose of litigating any such Dispute.
4.5 Miscellaneous
- Supplemental Terms.
- Certain features, products, or services offered through or in connection with the Services may be subject to additional or supplemental terms and policies ("Supplemental Terms"). Examples may include: (a) terms applicable to Coaches, Recruiters, advertisers, or commercial users of the Services; (b) payment or commerce terms governing purchases or financial transactions; and (c) developer or platform terms governing APIs, SDKs, and integrations.
- Supplemental Terms will be presented to you at the time of your use of the relevant feature or service. In the event of a conflict between Supplemental Terms and these Terms, the Supplemental Terms will govern for that specific feature or service.
- Severability.
- If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect.
- No Assignment by You.
- You may not assign, transfer, or delegate your rights or obligations under these Terms, in whole or in part, whether by operation of law or otherwise, without Gridiron Pros prior written consent.
- Any attempted assignment or transfer in violation of this provision shall be null and void.
- Assignment by Gridiron Pros.
- Gridiron Pros may freely assign, transfer, or delegate its rights and obligations under these Terms, in whole or in part, to any affiliate, successor, or third party in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law, without notice to you.
- No Third-Party Beneficiaries.
- Except as expressly provided in these Terms, no person or entity other than you and Gridiron Pros shall have any rights or remedies under these Terms as a third-party beneficiary.
- No Waiver.
- The failure of Gridiron Pros to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Any waiver must be explicit and in writing to be effective.
- Entire Agreement.
- These Terms, together with the Privacy Policy and any applicable Supplemental Terms, constitute the entire agreement between you and Gridiron Pros with respect to the subject matter hereof and supersede all prior or contemporaneous understandings or agreements, whether written or oral, relating to such subject matter.
- Feedback. If you choose to provide feedback, suggestions, or ideas regarding the Services ("Feedback"), you acknowledge and agree that:
- Gridiron Pros is free to use such Feedback without any restriction or obligation to compensate you.
- Gridiron Pros has no obligation to keep such Feedback confidential or to respond to it.
5. Other Terms and Policies That May Apply
Certain uses of the Services may be governed by additional terms, policies, standards, or guidelines, which may be updated from time to time. Without limitation, such terms and policies may include:
- Community Standards or Content Policies. These describe the standards for Content and conduct on the Services, including rules relating to safety, integrity, and prohibited Content.
- Commercial or Business Use Terms. These apply if you use the Services for any commercial or business purpose, including advertising, operating a page or group on behalf of a business, or selling products or services.
- Payment and Commerce Terms. These apply to payments made on or through the Services, including purchases, subscriptions, or other fee-based offerings.
- Developer and Platform Terms. These apply if you develop applications, integrations, or other services that interact with the Gridiron Pros Services or Gridiron Pros APIs or SDKs.
- Advertising Policies. These specify the requirements for Ads and promotional Content on or through the Services.
- Brand Usage Guidelines. These govern the use of Gridiron Pros trademarks, logos, and other brand assets.
- Additional Feature-Specific Terms. These may apply to particular experiences or tools made available by Gridiron Pros, which may be presented to you at the time you use such features.
Compliance with Additional Terms
You agree to comply with all such additional terms and policies that are applicable to your use of the Services. Where such additional terms are inconsistent with these Terms, those additional terms will control with respect to the applicable feature or service.
